1. Acceptance of These Terms

By accessing or using the Thiyane Logistics website (thiyanelogistics.co.za) or platform, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.

2. Description of Service

Thiyane Logistics is a multi-tenant software-as-a-service platform that provides shuttle and fleet dispatch, tracking, and management tools to dealerships and similar businesses operating shuttle services in South Africa.

3. Eligibility & Account Registration

Our platform is intended for use by registered businesses ("Tenants") and their authorised staff. A Tenant's use of the platform is governed by a separate Subscription Agreement, accepted in-app during onboarding, which sets out the specific commercial terms (pricing, billing cycle, and service scope) applicable to that Tenant. These website Terms & Conditions apply in addition to, and do not replace, that Subscription Agreement.

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose;
• Attempt to gain unauthorised access to any part of the platform, other tenants' data, or our infrastructure;
• Interfere with or disrupt the platform's operation;
• Reverse-engineer, decompile, or attempt to extract the source code of the platform, except where permitted by law.

5. Subscription, Billing & Payment

Subscription fees, billing cycles, and payment methods are set out in your Subscription Agreement and, where applicable, our published pricing. We reserve the right to change our pricing on reasonable notice to existing Tenants.

6. Data Protection & Privacy

We process personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA). Full details of how we collect, use, and protect personal information are set out in our Privacy Policy.

7. Intellectual Property

All software, branding, and content that make up the Thiyane Logistics platform and website remain the property of Bekezela Thiyane (Pty) Ltd or its licensors. Nothing in these Terms transfers any intellectual property rights to you, except the limited right to use the platform in accordance with your Subscription Agreement.

8. Service Availability

We aim to keep the Thiyane Logistics platform available and performant, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party service outages (including mapping and payment providers), and events outside our reasonable control may affect availability.

9. Limitation of Liability

To the maximum extent permitted by law, Bekezela Thiyane (Pty) Ltd shall not be liable for any indirect, incidental, or consequential damages arising from your use of, or inability to use, the platform or website.

10. Termination

We may suspend or terminate access to the platform for any Tenant that breaches these Terms, their Subscription Agreement, or applicable law. Tenants may cancel their subscription in accordance with the terms of their Subscription Agreement and our Refund Policy.

11. Changes to These Terms

We may update these Terms & Conditions from time to time. Material changes will be communicated to active Tenants. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the jurisdiction of the South African courts.
